Rockwell Collins will buy B/E Aerospace for $8.3 Billion
Rockwell Collins is set to acquire B/E Aerospace for approximately $6.4 billion in cash and stock in a deal that includes $1.9 Billion of debt, and is set to close sometime in the spring, 2017. The deal will ultimately give B/E shareholders 20% ownership in the new company. The deal is $34.10 per share in cash, which gives current shareholders a 22.5% premium over the stock’s closing price last friday, and $27.90 in shares of Rockwell Collins common stock. Assuming all goes to plan, Rockwell Collins will buy B/E Aerospace for $8.3 Billion in total consideration.

Governance Upon close of the transaction, Rockwell Collins will increase the size of its Board to 11 members with the addition of two B/E Aerospace board members. Werner Lieberherr, CEO of B/E Aerospace, will become Executive Vice President and Chief Operating Officer of a newly created aircraft interior systems segment for Rockwell Collins.
